These Terms of Service ("Terms") govern your engagement with Tesseric LLC ("Tesseric," "we," "us," or "our"), a Utah limited liability company providing financial analytics and advisory services. By engaging Tesseric's services, you agree to these Terms.
Tesseric provides financial analytics, reporting, forecasting, and advisory services to businesses. The specific scope of services for each engagement is defined by a separate written agreement (Statement of Work, Master Services Agreement, or equivalent) between Tesseric and the client.
Tesseric's deliverables are for informational and advisory purposes. They do not constitute legal, accounting, tax, or investment advice. Clients should consult licensed professionals for those matters.

When you authorize Tesseric to connect to your financial platform, Tesseric accesses your data in a read-only capacity through the platform's official API as part of its analytics services. Tesseric does not modify, delete, or write data to your connected systems unless explicitly authorized in writing for a specific engagement. Your authorization can be revoked at any time through the connected platform's settings.
Tesseric handles your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
Tesseric treats all client financial data and business information as strictly confidential. We do not share, sell, or disclose your information to any third party except as required by law or with your explicit written consent.
Clients agree to treat Tesseric's methodologies, analytical frameworks, and proprietary processes as confidential and will not reproduce or disclose them to third parties.
Deliverables produced for a client (reports, dashboards, models, analyses) are provided for that client's internal business use. Tesseric retains ownership of its underlying methodologies, tools, templates, and analytical frameworks. Nothing in these Terms transfers ownership of Tesseric's proprietary methods to the client.
Fees for services are as agreed in the applicable engagement agreement. Invoices are due within the payment terms stated on the invoice. Tesseric reserves the right to suspend services for accounts with outstanding unpaid invoices.
Tesseric's services are provided on a best-efforts basis using data supplied by the client and their connected systems. Tesseric is not responsible for errors or omissions in source data provided by third-party systems.
To the maximum extent permitted by applicable law, Tesseric's total liability for any claim arising from or related to these Terms or the services shall not exceed the fees paid by the client to Tesseric in the three (3) months preceding the claim.
Tesseric is not liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or reliance on Tesseric's deliverables.
Either party may terminate an engagement by providing written notice as specified in the applicable engagement agreement. Upon termination:
These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Utah.
Tesseric may update these Terms from time to time. Material changes will be communicated to active clients by email with at least 14 days' notice before taking effect. Continued use of Tesseric's services after the effective date constitutes acceptance of the updated Terms.
